Your use of and access to this Site is conditional upon (i) your eligibility to participate in the Club Moen Program (as detailed below) and (ii) your acceptance of these Terms of Use including our Privacy Policy (collectively, our “Site Policies”) as well as the Club Moen Program Rules detailed below. Subject to your compliance with these Terms of Use, Moen grants you, as an active Club Moen member, a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal, lawful and non-commercial use of this Site. You may download material displayed on the Site for non-commercial, personal use only provided you also retain all copyright and other proprietary notices contained on the materials.  All rights not expressly granted to you in our Site Policies are reserved and retained by Moen. 

Among other things, this license does not include any commercial rights and you are not authorized to do any of the following without Moen’s prior written consent: (i) duplicate, distribute, modify, transmit, reuse, re-post, re-sell, use or otherwise exploit the content of the Site for public or commercial purposes, including trademarks, logos, photographs, product listings, descriptions, prices or any other text, images, audio or video contained on this Site, (ii) download, copy, or make other use of information or images on this Site for the benefit of any third party, (iii) use data mining, robots, or similar data gathering and extraction tools to pull content from this Site, (iv) use any meta tags or any other “hidden text” utilizing Moen’s name or trademarks, or (v) resell any Products properly earned through our Club Moen loyalty rewards program and obtained through this Site.

The licenses granted by Moen automatically terminate if you do not comply with our Program Rules and/or Site Policies.

CLUB MOEN® REWARDS PROGRAM RULES

The Club Moen program (the “Program”) is a loyalty reward program offered by Moen exclusively for professionals in the kitchen, bath, and plumbing space, including plumbers, builders, wholesalers, and retailers. To be eligible, you must meet the specific membership requirements outlined in this section below. The rules for the Program are described below and otherwise communicated to you by Moen as updated from time to time (“Program Rules”). The Program is hosted by a third-party service provider (“Program Administrator”) specializing in running loyalty programs. By enrolling in the Program, you are agreeing to abide by all terms and conditions in the Program and all Site Policies, which may be updated now and in the future.

  1. Eligibility. To be eligible to become a Club Moen® member (“Member”), you must:
    1. be the owner, employee or designated business account holder of a professional business in the plumbing, design, sales, architectural or building sector focused on kitchen and bath design projects, plumbing projects and other residential water delivery projects, which business is located in the United States. Non-professionals, including individuals acting for their family, home, or personal benefit, are not eligible;
    2. have a valid mailing address in the United States and a valid e-mail address;
    3. be 18 years or older; and
    4. enroll in the Club Moen Program by submitting all required information.

  2. Membership Restrictions. Each membership is listed in the name of the relevant individual in his/her professional capacity and such membership must be associated with a valid business account established by the owner or authorized designee. Although there may be multiple members associated with a business account, one person (for example, the business owner) must be designated as the Principal Member for the account. Moen reserves the right to deny or revoke membership if it believes the applicant will not follow the terms and conditions of the Program or the Site Policies, is applying fraudulently, has misused Moen intellectual property, or for any other business reason in its sole discretion. You must advise Club Moen of any changes of personal information including your full name, mailing & shipping addresses, and e-mail address by updating your information under MY PROFILE. Failure to provide updated information may result in deactivation of your membership and closure of your account.

  3. Active / Closed Accounts. To remain an active Club Moen member, you must (i) comply with all terms and conditions of the Program and Site Policies, and (ii) maintain an active account by taking at least one of the following actions within a 12-month period of time:
    1. logging in to use/review your account at www.clubmoen.com; or 
    2. opening and engaging with Club Moen by actively responding and clicking through links in a Club Moen email;

An account which is inactive for 12 months will be deactivated and closed. Deactivated members will no longer be able to log into their account, their respective accounts will stop earning Club Moen Reward Points, and all previously earned Club Moen Reward Points will be deleted and the point balance reduced to zero.

  1. Denial / Termination of Account. An account may be denied or terminated at any time if Moen, in its sole discretion, believes there has been abuse of the Program, fraud or a failure to comply with any of the Program Rules or Site Policies. Upon termination, all the Reward Points associated with the Member’s account are reduced to zero and membership is closed.

  2. Earning Club Moen Reward Points. Club Moen Members can earn reward points (“Reward Points”) in a variety of ways, including making qualifying purchases, attending training sessions, and participating in other Program promotions and activities. Additionally, Club Moen Members may achieve advanced tier levels or badges for completing certain milestones, such as completing specific trainings. The Club Moen member must follow all instructions and requirements posted by Moen in order for the activity to qualify for Reward Points. To the extent that Reward Point values (or activities which earn Reward Points) change, Reward Points will be awarded pursuant to the Program Rules in effect as of the date on which the activity is completed and will not be awarded on a retroactive basis. Typically, Reward Points will automatically be applied to your account within 90 days of the qualifying activity.   3. Redeeming Points for Rewards.  Reward Points can only be redeemed for rewards on the Site and not through any other channels. Points are NOT transferable and have no cash, monetary or other value and cannot be converted into any currency. Once a reward is selected and ordered, the corresponding Reward Points will automatically be deemed “spent” and depleted from your Club Moen account. The actual redemption of Reward Points in exchange for goods or services is administered by a third-party agency. Moen does not have control over the selection or delivery of any third-party goods or services offered in the Program or the quality or performance of such goods or services. Circumstances may arise that will make some reward items permanently or temporarily unavailable. In such cases, you will be notified by Moen and the corresponding Reward Points returned to your account. Moen provides no guarantee that any reward item will remain available for the entire term of the current catalogue.

  1. Point Values for a Reward. Reward Points may be used by you to redeem a wide variety of third-party goods and services displayed on this Site (each constitutes a “Club Moen Reward’). Every Club Moen Reward has an assigned point value which is listed on the Site. Point values may change from time to time at Moen’s sole discretion so periodically check this Site for updates.   2. Delivery of Rewards. Club Moen Rewards are administered by an independent, third-party provider (“Program Administrator”) who arranges for the delivery of Rewards. In general, Members should allow approximately 12 – 15 business days for the processing of a reward redemption, and an additional 3-4 weeks after the reward redemption has been processed for delivery of the reward. However, delays in reward delivery can occur for a variety of reasons outside of Moen’s control and Moen does not guarantee delivery times for any delivery of a reward. Delivery of items does not include services such as removal of packaging, installation or delivery inside the residence beyond the main entrance. Signature may be required for receipt of delivery of certain rewards.

  3. Return of Erroneous/ Damaged Reward Products. You are encouraged to inspect your reward item immediately at the time of delivery to ensure that the item is satisfactory. Returns are only permitted where it can be verified the delivered reward was incorrect, damaged, or non-working merchandise. In such cases, you must inform Moen using the form found at Contact Us within 7 days of delivery. Upon verification by Moen, the Program Administrator will dispatch a replacement order and return freight information will also be provided to You. You must promptly return the incorrect, damaged, or non-working merchandise per the return freight instructions. Failure to timely do so may result in charges.

  4. Right to Change or Terminate the Program. Enrollment, membership, and all related benefits of the Program are offered on a complementary basis at Moen’s sole discretion and the Program Rules, benefits, and requirements for participation may be changed or the Program itself terminated in whole or in part, with or without notice, at any time where permissible to do so. In territories where notice of termination is required, the minimum number of days permissible under the applicable law will apply.

  5. ELECTRONIC COMMUNICATIONS When you use this Site and access the various products, services and information provided here, or send e-mails, text messages, and other communications from your desktop or mobile device to Moen, you expressly consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this Site or through other Moen departments including Moen’s Service Center related to the Program. You are responsible for all data and usage costs. You can retain copies of these communications for your records and you agree that all agreements, notices, disclosures, and other communications that Moen provides to you electronically satisfy any legal requirement that such communications be in writing.

  6. INTELLECTUAL PROPERTY Unless otherwise noted, product names, designs, logos, titles, text, images, audio and video within this Site are the trademarks, service marks, trade names, copyrights or other property of Moen Incorporated or one of its affiliates (“Moen Intellectual Property”) or are used pursuant to a third-party agreement.  Other than Moen Intellectual Property, all unregistered and registered trademarks are the property of their respective owners. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Moen Intellectual Property or any other intellectual property displayed on the Site without the prior written permission of Moen or the appropriate owner of the intellectual property.

  7. NO WARRANTIES – LIMITATION OF LIABILITY THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BY USING THIS WEBSITE, YOU ACKNOWLEDGE THAT THE EXCHANGE OF REWARD POINTS FOR GOODS OR SERVICES ON THIS SITE IS ADMINISTERED BY AN INDEPENDENT THIRD PARTY AND MOEN HAS NO CONTROL OVER, AND SHALL HAVE NO LIABILITY WHATSOEVER FOR, THE SELECTION, DELIVERY, QUALITY OR PERFORMANCE OF SUCH THIRD-PARTY GOODS OR SERVICES. IF YOU ARE IMPROPERLY DENIED A BENEFIT UNDER THE PROGRAM, YOUR SOLE REMEDY AND MOEN’S FULL LIABILITY WILL NOT EXCEED THE EQUIVALENT VALUE OF THAT BENEFIT, AS DETERMINED BY MOEN.

    FURTHER, YOU UNDERSTAND AND AGREE THAT THE PROGRAM POLICY ALONE GOVERNS YOUR MEMBERSHIP AND PARTICIPATION IN THE PROGRAM AND NO COVENANTS AT LAW OR IN EQUITY SHALL BE IMPLIED OR INCORPORATED, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. MOEN HAS THE SOLE RIGHT TO INTERPRET AND APPLY THE RULES.

    Additionally, Moen and its affiliates assume no responsibility, and shall not be liable for any damages to or viruses that may infect, your computer equipment, software, data or other property on account of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images, video or audio from the Site or any linked sites. In no event shall Moen or any other party, involved in creating, producing, maintaining or delivering the Site, or any of their affiliates, or the officers, directors, employees, shareholders, or agents of each of them, be liable for any damages of any kind, including without limitation any direct, special, incidental, indirect, exemplary, punitive or consequential damages, whether or not advised of the possibility of such damages, and on any theory of liability whatsoever, arising out of or in connection with the use or performance of, or your browsing in, or your links to other sites from, this Site.

INDEMNIFICATION You agree to defend, indemnify, and hold Moen harmless from and against any and all claims, damages, costs and expenses, including attorney’s fees, arising from or related to your misuse of this Site, your violation of Program Rules and any other applicable terms and conditions, or your negligence, gross negligence, or willful misconduct.

  9. DATA ACCURACY, SECURITY & PRIVACY
    i. Our Responsibilities. By enrolling and/or participating in the Program, you give Moen consent to collect and use your personal information in accordance with our Privacy Policy found here. As part of administering the Program, we collect and use your personal information for the various purposes including the following:
    1. to set up and administer the Program including ongoing management of Club Moen® accounts;
    2. to accurately record Reward Points and to update point balances;
    3. to process redemptions and issue rewards;
    4. to communicate with Members and prospective Members; to understand Members’ shopping and information needs and preferences, and to offer members relevant information, including marketing messages, and products to meet those needs and interests.

      ii. Your Responsibilities. Members are responsible for updating and maintaining accurate account information. As a Member, you are also responsible for protecting the confidentiality and security of your Club Moen account. You are not permitted to share your account number or any account information, including any passwords or other login information, with other parties. Membership benefits are non-transferrable and apply only to the individual Club Moen account holder whose status remains active.

  10. UNAFFILIATED PRODUCTS AND SITES Descriptions of, or references to, products, publications or sites not owned by Moen or its affiliates do not imply endorsement of that product, publication or site. Moen cannot and does not review all material listed or linked to the Site and is not responsible for the content of any such material. Your linking to any other sites is at your own choice and responsibility.

  11. COMMUNICATIONS WITH THIS SITE You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. Moen will fully cooperate with any law enforcement authorities or court order requesting or directing Moen to disclose the identity of or help identify or locate anyone posting any such information or materials.

  12. GENERAL TERMS Moen is the sole interpreter of the Program Rules and reserves the right to modify, change or terminate the Program or any ancillary terms and conditions including without limitation the Site Policies, in whole or in part, at any time.

    Any falsification of the enrollment form or any other information automatically disqualifies that applicant/participant from the Program. In particular, but without limitation, any attempt to misrepresent information, submit fraudulent invoices, deliberately damage the website or undermine the legitimate operation of this Program is a violation of criminal and civil laws and shall result in denial or termination of participation in the Club Moen Program, immediate account deactivation and forfeiture of any Reward Points that may have already been awarded. Moen further reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

    Moen reserves the right to ask for documentation, information or other proof to confirm your compliance with the Program Rules at any time. You agree to provide such documentation, information or other proof promptly when requested. Failure to provide such proof promptly may result in the delay or withholding of Reward Points or termination in your participation in the Program.

    Members are solely responsible for any applicable income tax claims and payments.

    The Club Moen Program is void where prohibited by law.

  13. GOVERNING LAW These Terms of Use shall be governed by, and your use of the Site shall be deemed acceptance of, the laws of the state of Illinois, USA.
